Terms & Conditions - Audrey & Co.

1. Order Confirmation

All orders are subject to final confirmation by email. No order shall be deemed accepted until Audrey & Co. has confirmed the order in writing via email. Order confirmations will include product specifications, quantities, pricing, payment terms, and delivery schedules.

2. Production Lead Times

Production lead times start after receipt of advance payment and approved samples (if applicable). Lead times are estimates and may vary based on order complexity, customization requirements, and production capacity. Audrey & Co. will provide estimated lead times during the quotation process, but actual production times may vary.

3. Payment Terms

Payment terms will be specified in the proforma invoice and purchase order. Advance payment is typically required before production begins. Final payment terms, including advance percentage and balance payment schedule, will be agreed upon during order confirmation. All payments must be made in accordance with the agreed terms.

4. Samples

Samples may be requested before placing an order. Sample costs, shipping charges, and timelines will be communicated separately. Approved samples serve as the reference standard for production. Any deviations from approved samples must be agreed upon in writing.

5. Quality Standards

All products are manufactured in accordance with agreed specifications and quality standards. Products undergo quality inspection before shipment. Any quality issues must be reported within the timeframe specified in the order confirmation, with supporting documentation.

6. Shipping and Delivery

Shipping terms (Incoterms), methods, and costs will be specified in the order confirmation. Delivery dates are estimates and not guaranteed. Audrey & Co. is not liable for delays caused by factors beyond our reasonable control, including but not limited to customs delays, shipping carrier delays, or force majeure events.

7. Minimum Order Quantities (MOQ)

MOQ requirements vary by product and will be communicated during the quotation process. MOQs are set to ensure production efficiency and cost-effectiveness. Exceptions may be considered on a case-by-case basis.

8. Customization

Customization requests are subject to feasibility assessment and may affect pricing, MOQ, and lead times. All customization requirements must be clearly specified and agreed upon in writing before production begins. Changes to customization after order confirmation may result in additional charges and delivery delays.

9. Cancellation and Modifications

Order cancellations or modifications after confirmation may be subject to cancellation fees, especially if production has commenced. Cancellation terms will be specified in the order confirmation. Any modifications to confirmed orders must be agreed upon in writing and may affect pricing and delivery schedules.

10. Intellectual Property

All designs, patterns, and intellectual property developed by Audrey & Co. remain the property of Audrey & Co. unless otherwise agreed in writing. Custom designs developed for specific buyers may be subject to separate intellectual property agreements.

11. Limitation of Liability

Audrey & Co.'s liability is limited to the value of the products supplied. We are not liable for indirect, consequential, or incidental damages. Our total liability shall not exceed the total order value.

12. Force Majeure

Audrey & Co. is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, strikes, government actions, or other force majeure events.

13. Dispute Resolution

Any disputes arising from these terms or orders placed with Audrey & Co. shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the jurisdiction of courts in Delhi NCR, India.

14. Governing Law

These terms and conditions are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of courts in Delhi NCR, India.

15. Amendments

Audrey & Co. reserves the right to amend these terms and conditions at any time. Amendments will be effective for orders placed after the amendment date. Existing orders will continue to be governed by the terms in effect at the time of order confirmation.
